Terms and Conditions of Sale Effective Date: March 1, 2026 Version 2.0

By purchasing any product from Yoga Training Resources ("YTR"), you ("Purchaser") agree to these Terms and Conditions. If purchasing on behalf of an organisation, you represent that you have authority to bind that organisation.

Section 1: Purchase and Access

1.1 What You Receive

Upon purchase, YTR grants you a non-exclusive, non-transferable, permanent right to use the purchased educational product(s) for the purpose outlined in the product description. This is a one-time purchase, not a subscription or recurring licence.

1.2 Permitted Use

You may use purchased materials to: deliver programmes under your own brand; customise materials to reflect your teaching philosophy; deliver face-to-face, online, or hybrid programmes; and create student copies for enrolled participants only.

1.3 Prohibited Use

You may not: share materials with anyone outside your authorised teaching team; sell, sublicense, or transfer materials to any third party; post materials publicly online; create derivative products for commercial sale; or remove YTR copyright notices.

Section 2: Payment Terms

2.1 Pricing

Pricing for each product is displayed at the point of sale. All prices are in AUD and exclude GST (10%), applicable to Australian customers only. YTR reserves the right to adjust pricing at any time for new purchases; pricing is locked at the time of your purchase.

2.2 Payment Methods

Credit/debit card: Immediate payment and instant access. Bank transfer: Net 7 days, invoice provided, access granted upon payment clearance. Full payment is required at time of purchase.

2.3 Digital Product — All Sales Final

All YTR products are digital with immediate access upon payment. ALL SALES ARE FINAL. There are no refunds, cancellations, or exchanges under any circumstances, including but not limited to: change of mind; not using the materials; dissatisfaction with content; technical issues on your end; materials not meeting registration requirements in your jurisdiction; or business closure or change in circumstances.

Please review all available sample materials and product descriptions carefully before purchasing.

2.4 Access

Portal access is granted within 24-48 hours of payment clearance. Your access begins on your payment date.

Section 3: Intellectual Property

All curriculum content is YTR's exclusive property, protected by Australian and international copyright law. Your purchase grants a right to use, not ownership of the intellectual property. This right is personal to you and cannot be transferred, sold, or assigned without YTR's written consent.

Unauthorised reproduction, distribution, public posting, or use beyond the permitted scope constitutes copyright infringement and breach of contract. YTR may pursue legal remedies including injunctive relief and damages under Australian copyright law.

Section 4: Confidentiality

You agree to maintain strict confidentiality of all YTR curriculum content. You must implement reasonable security measures, not disclose materials to anyone outside your authorised teaching team, not post materials publicly, and ensure any faculty or contractors sign confidentiality agreements. This obligation continues indefinitely after your purchase.

Section 5: Warranties and Disclaimers

5.1 Limited Warranty

YTR warrants that curriculum materials are professionally developed by educators with combined 50+ years of yoga experience and relevant university qualifications in education. Materials reflect current yoga education standards at the time of purchase.

5.2 No Guarantees

Materials are provided "as is" without warranty of: student certification success rates; specific registration body approval in all jurisdictions; business success or programme profitability; or fitness for your specific teaching style, market, or location.

5.3 Your Due Diligence Responsibility

Before purchasing, you are responsible for reviewing all available sample materials and ensuring materials align with your teaching philosophy and business model. Failure to review before purchase does not entitle you to a refund.

5.4 Australian Consumer Law

Nothing in this agreement excludes consumer guarantees under Australian Consumer Law that cannot be legally excluded. To the extent permitted by law, YTR's liability for breach of non-excludable consumer guarantees is limited to re-supply of the materials or payment of the cost of having the materials supplied again.

Section 6: Limitation of Liability

6.1 Maximum Liability Cap

YTR's total aggregate liability for all claims arising from your purchase shall not exceed the purchase price you paid for the relevant product.

6.2 Excluded Damages

To the maximum extent permitted by law, YTR is not liable for: lost profits or business opportunities; business interruption; reputational harm; student disputes; indirect, incidental, consequential, or punitive damages; or events beyond our reasonable control.

Section 7: Disputed Charges

If you dispute a credit card charge or initiate a chargeback, your access is immediately suspended, you are in material breach of this agreement, and you must return or destroy all materials immediately. YTR reserves the right to pursue legal action for the full amount plus costs.

Section 8: Product Updates

YTR may provide product updates at its discretion. Where updates are provided, you will receive access to updated materials at no additional cost. Major overhauls may be released as new products requiring separate purchase.

Section 9: Terms Changes

YTR may modify these Terms with 60 days advance notice via email and portal notification. Continued use of purchased materials after the effective date constitutes acceptance. If you object to material changes, please contact us at [email protected].

Section 10: Dispute Resolution

Before initiating formal proceedings, parties agree to negotiate in good faith for 30 days. Send dispute notices to [email protected]. If negotiation fails, parties agree to mediate through a mutually agreed mediator in Victoria, Australia before pursuing litigation. This agreement is governed by the laws of Victoria, Australia.

Section 11: General Provisions

These Terms, together with the Privacy Policy, constitute the complete agreement between the parties. If any provision is found invalid, all other provisions remain in full effect. YTR may assign this agreement freely; you may not assign without YTR's written consent. This agreement does not create a partnership, employment, or agency relationship.

Acknowledgment

By completing your purchase, you acknowledge that: you have read and understood these Terms in full; you understand this is a digital product with immediate access and all sales are final; you have reviewed available sample materials; you accept responsibility for ensuring materials align with your teaching philosophy and business model; and you understand materials are provided without guarantees of business success or student outcomes.

Clicking "Complete Purchase" or submitting payment constitutes your binding electronic signature to these Terms.
